Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Techford Solutions ("we", "us", or "our"), the operator of BizList.com.sg ("BizList" or the "Platform").

By accessing, browsing, registering, or using BizList.com.sg in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated herein by reference.

If you are using BizList on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

About BizList

BizList.com.sg is a Singapore-based online business directory that allows Singapore-registered businesses to list their business information and allows consumers to discover and review local businesses.

BizList acts as a platform intermediary only. We do not endorse, verify the quality of, or take responsibility for any business, product, or service listed on the platform, except where expressly stated.

Eligibility

To use BizList.com.sg, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract under Singapore law
• Not be prohibited from using the platform under any applicable law or regulation
• Provide accurate, current, and complete information when creating an account or listing

For business listing purposes, the business must be a legitimate, Singapore-registered entity with a valid UEN (Unique Entity Number) issued by the Accounting and Corporate Regulatory Authority (ACRA) of Singapore.

We reserve the right to refuse registration or terminate accounts at our sole discretion, including where we believe eligibility requirements have not been met.

User Accounts

To access certain features of BizList, you may be required to create an account. By creating an account, you agree to:

• Provide accurate, truthful, and complete registration information
• Maintain and promptly update your account information to keep it accurate
• Keep your password confidential and not share it with any third party
• Notify us immediately at info@techfordsolutions.com if you suspect any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

You may only create one account per person. Creating multiple accounts to circumvent restrictions or bans is strictly prohibited.

Business Listings

Business owners may submit their business for listing on BizList subject to the following terms:

• All information submitted must be accurate, current, and truthful. Submitting false, misleading, or fraudulent information is strictly prohibited.
• The business must be a legitimately operating Singapore-registered business with a valid UEN.
• By submitting a listing, you grant BizList a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute the listing content on our platform and for promotional purposes.
• You are solely responsible for ensuring your listing complies with all applicable laws, including consumer protection laws and advertising standards.
• BizList reserves the right to edit, suspend, or remove any listing at any time without notice, including listings that violate these Terms, contain inaccurate information, or relate to businesses that have ceased operations.
• Some business information may be sourced from ACRA's public registry and displayed without your direct submission. This constitutes publicly available data.
• Listings do not constitute endorsement by BizList of any business, product, or service.

BizList reserves the right to verify business information at any time and to request supporting documentation (such as ACRA business profile) to confirm legitimacy.

Prohibited Conduct

You agree not to engage in any of the following prohibited activities on or in connection with BizList:

• Submitting false, misleading, deceptive, or fraudulent business information
• Impersonating any person, business, or entity, or falsely claiming an affiliation with any person or entity
• Posting fake, incentivised, or otherwise inauthentic reviews
• Attempting to manipulate search rankings or listing positions through illegitimate means
• Scraping, crawling, or harvesting data from BizList without our prior written consent
• Using BizList for any unlawful purpose or in violation of any Singapore law or regulation
• Uploading or transmitting any malware, viruses, or other malicious code
• Attempting to gain unauthorised access to any part of the platform or its underlying systems
• Interfering with or disrupting the integrity or performance of the platform
• Sending unsolicited commercial communications (spam) to other users
• Engaging in any conduct that could damage, disable, or impair the platform or its reputation
• Using BizList to list businesses offering illegal products or services
• Creating multiple accounts to circumvent suspensions or bans
• Reproducing, copying, or distributing BizList content for commercial purposes without our consent

Violation of these prohibitions may result in immediate account suspension or termination, removal of listings, and/or legal action where appropriate.

User-Generated Content

BizList allows users to submit content including business descriptions, photos, reviews, ratings, and other materials ("User Content"). By submitting User Content, you:

• Represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe any third-party rights
• Grant BizList a non-exclusive, irrevocable, royalty-free, worldwide licence to use, display, reproduce, modify, and distribute your User Content on the platform and for marketing purposes
• Agree that your content does not contain defamatory, obscene, offensive, threatening, or illegal material
• Agree that your content does not violate any third party's intellectual property rights, privacy rights, or any other rights
• Accept that BizList may, at its sole discretion, remove or moderate any User Content that violates these Terms or that we deem inappropriate

BizList does not claim ownership of your User Content. However, you acknowledge that we are not obligated to store, maintain, or provide copies of User Content you submit.

Reviews & Ratings

BizList allows users to submit reviews and ratings of businesses listed on the platform. The following rules apply:

• Reviews must be genuine, first-hand accounts based on your actual experience with the business
• Fake reviews, reviews posted by business owners about their own business, or reviews posted by competitors are strictly prohibited
• Reviews must not be defamatory, abusive, threatening, or otherwise unlawful under Singapore law, including the Defamation Act
• Business owners must not offer any incentive (monetary or otherwise) in exchange for reviews
• BizList reserves the right to remove any review without prior notice that we reasonably believe violates these Terms
• BizList is not responsible for the content or accuracy of user reviews and does not verify the factual accuracy of individual reviews

Advertising Packages

BizList offers paid advertising packages that provide enhanced visibility for businesses. The following terms apply to advertising:

• Advertising packages are sold as described on our /advertise/ page and are subject to availability
• Sponsored placements are clearly labelled as "Sponsored" or "Featured" on the platform
• BizList reserves the right to reject any advertising request at its sole discretion, including where the advertiser does not meet our eligibility criteria
• Advertisers must ensure all promoted content is accurate, not misleading, and complies with Singapore's Consumer Protection (Fair Trading) Act and applicable advertising standards
• Advertising packages do not guarantee any specific outcome, including a minimum number of views, clicks, or enquiries
• BizList reserves the right to modify, suspend, or discontinue advertising packages at any time with reasonable notice

Payments & Refund Policy

All payments made on BizList are processed securely through Stripe, a third-party payment provider. By making a payment, you agree to Stripe's terms of service in addition to these Terms.

• All prices are quoted in Singapore Dollars (SGD) and are inclusive of applicable taxes unless otherwise stated
• Payment is due in full at the time of purchase
• BizList does not store your credit card or payment details — all payment data is handled by Stripe
• Advertising packages are billed annually and are non-refundable once activated, except where required by Singapore law
• If your payment fails, we will notify you and your advertising placement may be suspended until payment is successfully processed
• In the event BizList discontinues an advertising package you have purchased, we will provide a pro-rated refund for any unused period

Intellectual Property

All content on BizList.com.sg that is not User Content — including but not limited to the BizList name and logo, website design, layout, graphics, text, software, and editorial content ("BizList Content") — is owned by or licensed to Techford Solutions and is protected by Singapore and international intellectual property laws.

• You may not reproduce, copy, distribute, modify, or create derivative works of any BizList Content without our prior written consent
• You may not use the BizList name, logo, or branding in any way that suggests endorsement or affiliation without our prior written consent
• Scraping or systematic extraction of data from BizList for any purpose, including building competing services, is strictly prohibited
• You retain ownership of any User Content you submit, subject to the licence granted to BizList in Section 7

Disclaimers

BizList.com.sg is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied.

• Accuracy of listings: While we make reasonable efforts to verify business information against ACRA records, we do not warrant that any listing information is accurate, complete, current, or error-free. Business details may change without notice.
• Third-party businesses: BizList does not endorse, recommend, or take responsibility for any business, product, or service listed on the platform. Any transaction you enter into with a listed business is solely between you and that business.
• Platform availability: We do not warrant that the platform will be available without interruption, error-free, or free from viruses or other harmful components. We may suspend or discontinue the platform at any time.
• Reviews and ratings: BizList does not verify the accuracy of user reviews and ratings. Reviews represent the personal opinions of individual users and do not reflect the views of BizList.
• ACRA data: Business information sourced from ACRA's public registry is provided for reference purposes only. BizList is not affiliated with or endorsed by ACRA.
• External links: BizList may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of any external sites.

Limitation of Liability

To the fullest extent permitted by Singapore law, Techford Solutions, its directors, employees, agents, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from your use of or inability to use the platform
• Damages resulting from any transaction between you and a business listed on BizList
• Damages resulting from any unauthorised access to or alteration of your data
• Damages resulting from any third-party content posted on the platform

Indemnification

You agree to indemnify, defend, and hold harmless Techford Solutions, its directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your use of or inability to use BizList
• Your User Content, including any reviews, ratings, or listing information you submit
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights or privacy rights
• Any false or misleading information you provide
• Any dispute between you and another user or a listed business

This indemnification obligation shall survive the termination of these Terms and your use of BizList.

Termination & Suspension

BizList reserves the right, at our sole discretion and without prior notice, to:

• Suspend or terminate your account and access to the platform
• Remove any listing, review, or other User Content
• Restrict access to certain features of the platform

Grounds for termination or suspension include, but are not limited to, violation of these Terms, fraudulent activity, submission of false information, harmful conduct toward other users, or where we believe continued access poses a risk to the platform or its users.

You may terminate your account at any time by contacting us at info@techfordsolutions.com. Upon termination, your right to use the platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

Sections 7, 11, 12, 13, 14, and 16 of these Terms shall survive termination.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be resolved as follows:

1. Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation. Contact us at info@techfordsolutions.com to initiate this process.
2. Mediation: If negotiation fails within 30 days, the parties may agree to refer the matter to mediation administered by the Singapore Mediation Centre.
3. Litigation: If mediation is unsuccessful or not agreed upon, either party may commence legal proceedings in the courts of Singapore, which shall have exclusive jurisdiction.

Nothing in this clause prevents BizList from seeking injunctive or other urgent relief in any court of competent jurisdiction.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will take effect immediately upon posting the updated Terms on this page, with the "Last updated" date revised accordingly.

For material changes, we will:

• Post a prominent notice on BizList.com.sg
• Send email notification to registered users where we hold your email address
• Provide at least 14 days' notice before the changes take effect for significant changes that may adversely affect your rights

Your continued use of BizList after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the platform.
